How do I determine if Crowdfunder is a good fit for my company?

Crowdfunder is designed for early-stage startups and more mature businesses raising seed stage, Series-A & Series-B funding. Our offering does not cater to inception stage companies at this time.

The platform accepts businesses that fall into a variety of categories including Tech Startups, Social Enterprises, Small Businesses, and Film & Entertainment.

Crowdfunder is not designed for non-profit companies at this time.


Are there businesses that are not suitable for Crowdfunder?

For a variety of reasons, there are certain verticals that are difficult for us to assess and therefore we cannot support on Crowdfunder. These include:

Guns/Firearms
Tobacco/Cigarettes/Cannabis
Pyramid Marketing
Adult Products & Entertainment
Gambling
Contests and Raffles
Illegal Substances/Drugs


Can international companies raise money on Crowdfunder?

Yes, international companies can raise money on Crowdfunder. Please consult your lawyers prior to launching your raise as there are nuances in every country.

How do I launch my Deal on Crowdfunder?

Here are the 2 steps to follow in order to launch your Deal:

What does a successful campaign look like?

What are the different offering types?

You can raise money through Equity, Debt, Convertible Note or Revenue Share.


How do I set up my Deal offering?

Crowdfunder is unable to advise on how you should structure your Deal offering terms. If you are uncertain about how to shape your Deal, we suggest that you seek legal and/or financial counsel.


Can only Accredited Investors invest in my company?

Yes. Only Accredited Investors can invest in your company at this time. Once Title III of the JOBS Act is passed, investing in early stage startups will open up to a much larger audience.

Please note, that Accredited Investors on the Crowdfunder platform fill out a self-verification questionnaire. However, we do not take extra reasonable steps to fulfill the verification.

Companies that are generally soliciting their Deal, are responsible for properly documenting the reasonable steps they’ve taken to determine the investor is in fact accredited.


Do actual investments and transactions happen on Crowdfunder?

At this time, the actual transaction of wiring money does not happen on Crowdfunder. The closing of dollars will happen offline with the investor.

Crowdfunder is a marketing and engagement tool for your Deal, with a growing crowd of accredited investors actively investing in Deals.


Do I have to close my round to take in the investments generated through Crowdfunder?

You do not have to close your Round in order to collect investments made on Crowdfunder.

The structure of your Round will dictate when you can collect the investments.


What’s the difference between a Private and a Public Deal?

Only Accredited Investors will have access if your Deal is Private.

A Public Deal allows you to freely advertise that you are fundraising beyond your personal network.


What do I need to do to Generally Solicit my Deal?

Entrepreneurs interested in utilizing general solicitation should be aware of all the rules and regulations associated with advertising fundraising offerings. Be sure to also seek guidance from your lawyer to make sure you are in compliance with the current SEC regulations. Since Title IV has passed, can I take non-accredited investors into my round?

No. Although Title IV has passed, it will take 60-90 days to implement.
